Administrative Law and Privatizations

Our Law Firm has taken part in some of the most important privatizations in the Province of Mendoza, including the privatization of the water works company Obras Sanitarias Mendoza S.A. (OSM) and the hydropower company Hidroeléctrica Los Nihuiles S.A. (HINISA). In addition to this, Estudio Vila provides consulting services in administrative appeal proceedings and other cases brought before the Supreme Court of Justice of the Province, the Central Government, and other jurisdictions, non-departmental public bodies, and municipalities. Our Senior Partner Alberto Luis Vila has been a staff attorney of the Prosecutor's Office of the Province of Mendoza and has chaired the Prosecutor's Office for Administrative Investigations.

Estudio Vila offers legal advice and services to major companies in the province, the country and abroad. Our Managing Partner Guillermo Vila serves as corporate counsel for some of these companies, sharing this responsibility with Attorney Pilar Vila. Services provided include creating companies, drafting and amending shareholders’ agreements, family shareholders’ agreements, and Bylaws. The Firm has great expertise in asset restructuring, joint ventures, capital increase procedures, the incorporation of subsidiaries of foreign companies in the country, as well as in negotiating and drafting contracts, completing legal due diligence, stock transfers, corporate reorganization plans, mergers and acquisitions, and all procedures needed for local and foreign companies to meet effective legal regulations. In addition to this, our Law Firm gives regular legal advice to Boards of Directors, Shareholders’ Meetings, and Boards of Trustees. Estudio Vila has a vast experience in reorganizing family companies and resolving disputes within family-owned businesses. At present, the Firm gives advice to several companies partially owned by foreign entities or individuals and registered in Argentina under Argentina's Companies Act

Telecommunications Law

The Law Firm has taken active part in the cable & satellite TV industry offering consulting services for the creation and development of one of Argentina’s largest cable TV groups—ranked third in terms of subscribers.

Legal Actions - Arbitration

Our Law Firm has extensive experience in representing clients in civil, labor, and administrative proceedings and in dispute resolution. By formulating preventive legal strategies, Estudio Vila helps its clients avoid disputes and lawsuits. Estudio Vila's Legal Actions Department is chaired by Attorney Andrea Disparte (former member of the Council of the Magistracy and former Chair of the Bar). This department handles lawsuits, providing its clients with systematic and complete monthly reports on the status of each case. At present, the Law Firm handles complaints and appeals brought before the Supreme Court of the Province of Mendoza and the Supreme Court of Justice of Argentina. Estudio Vila has successfully litigated before the Arbitration Tribunal of the Stock Exchange of Buenos Aires. The Firm systematically delivers detailed reports on the status of clients’ legal actions at the regular intervals requested by clients.

Mining Law

Our Law Firm has extensive experience in Mining Law, in exploration, prospecting, mining, and mine acquisition and registration, among others. Estudio Vila has acted as legal counsel and attorney-in-fact for different local and foreign mining companies.

Banking Law

Our Law Firm has acted as attorney-in-fact for major banking institutions based in Mendoza. At present, Estudio Vila serves the largest bank of the province of Mendoza (in terms of clients and market penetration). Likewise, Estudio Vilas handles complex cases for financial entities without a local office in Mendoza working jointly or on behalf of major law firms based in the city of Buenos Aires. Our Firm has extensive experience in enforcing banking loans secured by personal property and granted against mortgage security as well as documentary credits, and has the resources needed to manage delinquent portfolios in judicial and extrajudicial settings. In addition to this, we offer tailored advice on banking contracts and financial instruments like checks and documentary credits, among others.

Labor Law

In this area of law, the Firm represents a wide range of clients, including financial entities, manufacturers, service companies, constructors, energy production and distribution companies, wineries, dealerships for top selling brands, farms, etc. The type of advice offered in this area—led by Attorney Rosana Cerdan—covers all aspects of Employer-Employee relationships, including collective bargaining agreements, social security benefits, individual and collective labor disputes, voluntary retirement plans, and restructuring operations, among others. Our Law Firm has successfully advised and represented corporate clients and major employers (500-1,000 employees) in proposed restructuring projects handling daily matters and resolving collective and individual disputes. Likewise, the Firm has long experience in defending clients in lawsuits resulting from work-related accidents. At present we provide consulting services to one of the largest insurance companies for matters concerning occupational hazards in Argentina.
